3. User Responsibilities

Users of UCYFER services are expected to maintain the security of their account information and are responsible for all activities under their account. Any unauthorized use of your account or other security breaches must be reported to UCYFER immediately. Users are also expected to adhere to any applicable laws and regulations while using UCYFER’s services. UCYFER shall not be responsible for any loss or damage arising from your failure to comply with this security obligation.

4. Payment Terms

Fees for UCYFER services will be as per the terms outlined in individual service agreements or contracts. All payments must be made in accordance with the specified timelines. 5. Intellectual Property Rights

The intellectual property rights of all content, designs, logos, and service marks as displayed on UCYFER’s services are owned by or licensed to UCYFER. Unauthorized use of this material may give rise to a claim for damages and/or be a criminal offense. You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of UCYFER’s services, use of services, or access to services without express written permission from us.

6. Limitation of Liability

In no event will UCYFER, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services; any conduct or content of any third party on the services; any content obtained from the services; and unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

7. Warranties and Disclaimers

UCYFER provides its services on an “as is” and “as available” basis, and hereby expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. UCYFER does not warrant that the services will function uninterrupted, secure, or available at any particular time or location; any errors or defects will be corrected; the services are free of viruses or other harmful components; or the results of using the services will meet your requirements.

8. Indemnification

You agree to defend, indemnify, and hold harmless UCYFER and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the service, by you or any person using your account and password, or b) a breach of these Terms.

9. Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

Information pertaining to UCYFER’s services and client data shall be treated as confidential. Both parties agree not to disclose or use the information for any purpose outside the scope of the agreement without prior written consent. This confidentiality clause shall survive the termination of the agreement.

13. Dispute Resolution

In the event of a dispute, parties agree to attempt to resolve the issue through amicable negotiation. Should these attempts fail, the dispute will be settled through binding arbitration in accordance with the laws of the jurisdiction where UCYFER is registered. The decision of the arbitrator shall be final and binding on both parties.

14. Force Majeure

Neither party will be responsible for any failure to perform its obligations under these Terms if the failure is caused by events outside its reasonable control, including natural disasters, war, terrorism, government action, or a pandemic. This clause does not excuse a party’s obligation to take reasonable steps to follow its normal disaster recovery procedures or your obligation to pay for the services.

15. Severability

If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Terms will continue in effect.
